These Terms of Use (“Terms”) govern your access to and use of the hosted SMEme service operated by Arista Labs, LLC (“Arista Labs,” “we,” “our,” or “us”) at smeme.ai and related Arista-operated websites, APIs, and managed endpoints (collectively, the “Service”). SMEme is the product name for the Service only; it is not a legal entity.
Self-hosted software is not the Service.
If you obtain and run SMEme Core yourself (for example from the public source repository or container image),
your rights in those software copies are governed by the SMEme Sustainable Use License published with that Core
distribution (LICENSE.md), or by a separate commercial license from Arista Labs, not by these Terms.
Arista Labs does not operate your self-hosted instance and is not the controller of data you process there.
Managed hosting or support that expressly covers a named instance is a separate relationship, if offered.
Each self-host operator is responsible for its own end-user terms and privacy notice.
By accessing or using the Service, you agree to be bound by these Terms with Arista Labs.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Service.
If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Definitions
SMEme means the product name under which Arista Labs offers the Service. References to SMEme in product materials describe the platform; they do not refer to a separate legal entity.
Account means a registered user account for the Service.
Expert Assets means workflows, decision structures, rules, logic, metadata, prompts, documents, configurations, and other content created, uploaded, maintained, or controlled by a user through the Service.
Generated Outputs means conclusions, determinations, reports, recommendations, analyses, evaluations, and other outputs generated through the operation of Expert Assets.
User Content means Expert Assets, Generated Outputs, and other information submitted to or maintained within the Service.
Platform means the hosted SMEme application and related managed services operated by Arista Labs as part of the Service. It does not mean a self-hosted copy of SMEme Core that you or a third party operate.
3. Ownership
3.1 User Ownership
As between Arista Labs and you, you retain all right, title, and interest in and to:
- Expert Assets;
- Generated Outputs;
- User Content; and
- any intellectual property embodied therein.
Arista Labs acquires no ownership interest in your Expert Assets, Generated Outputs, professional knowledge, methodologies, decision structures, reasoning workflows, or other intellectual property merely because such materials are created, uploaded, stored, processed, or used through the Service.
Nothing in these Terms transfers ownership of your expertise or professional know-how to us.
3.2 Platform Ownership
We retain all right, title, and interest in and to:
- the Platform;
- software;
- source code;
- documentation;
- interfaces; and
- other proprietary technology owned by Arista Labs.
3.3 Name and branding
You may refer to SMEme factually to describe the Service. You may not use the SMEme or Arista Labs names, logos, or branding in a way that implies sponsorship, endorsement, or affiliation, or that presents the Service as your own product, without our prior written permission, except as permitted by applicable law.
3.4 Limited License to Use the Hosted Platform
Subject to these Terms, Arista Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the hosted Platform solely for your internal business or professional purposes in the manner intended by the Service. This hosted-access license does not grant rights to copy, modify, distribute, or create derivative works of SMEme Core software outside the Service. Rights in self-hosted software copies, if any, arise only under the SMEme Sustainable Use License or a separate commercial license from Arista Labs. Within the Service, you may use functionality we make available (such as export of your own Expert Assets). All rights not expressly granted are reserved by Arista Labs.
4. License Granted to Us
You grant Arista Labs a limited, non-exclusive, revocable license to host, store, process, transmit, display, and otherwise use User Content solely as reasonably necessary to provide, maintain, secure, monitor, debug, and operate the Service.
This license does not transfer ownership of User Content to us.
We may use aggregated and de-identified usage information to improve the Service, provided such information cannot reasonably be used to identify you, your organization, your clients, or the contents of your Expert Assets.
5. Listed Workflows
Expert Assets are private by default. If you choose to List a deployed workflow for agent discovery through the Service (for example MCP discoverability), you grant Arista Labs a limited, non-exclusive license to display, index, and make available metadata reasonably necessary for that discovery through the Service.
This listing license is separate from the operational license in Section 4 and applies only to Expert Assets you intentionally List. You may Hide listed Expert Assets through the Service where such functionality is available; we will make commercially reasonable efforts to remove them from active discovery surfaces within a reasonable period, subject to caching, indexing delays, and backup retention.
Listing an Expert Asset does not transfer ownership to us. You remain responsible for the accuracy, legality, and appropriateness of listed workflows and any Generated Outputs users obtain from them.
6. Portability and Control
The SMEme platform is designed to help users operationalize, manage, and scale their expertise while retaining control over it.
Subject to technical limitations, legal obligations, and operational requirements, users may export Expert Assets and Generated Outputs using functionality made available through the Service.
Users may delete Expert Assets from the Service at any time.
We will make commercially reasonable efforts to remove deleted Expert Assets from active systems within a reasonable period, subject to:
- backup retention schedules;
- legal obligations;
- security requirements; and
- legitimate operational needs.
7. No Model Training
We do not use your Expert Assets or Generated Outputs to train or fine-tune any artificial-intelligence or machine-learning model. We do not offer a program that permits such use.
8. User Responsibilities
You are solely responsible for:
- creating and maintaining Expert Assets;
- the legality of User Content;
- the accuracy and completeness of information provided to the Service;
- compliance with applicable laws and regulations; and
- compliance with professional obligations applicable to your industry or profession.
You represent and warrant that you possess all rights necessary to upload, store, process, and use User Content through the Service.
9. Professional Services Disclaimer
We provide software and technology services only through the SMEme platform.
Arista Labs is not a law firm, medical practice, accounting firm, engineering firm, financial advisor, fiduciary, or professional services provider. Nothing in the Service constitutes legal, medical, accounting, tax, engineering, financial, or other professional advice.
10. Generated Outputs
Generated Outputs reflect the structure, logic, rules, workflows, and reasoning processes configured by users and depend upon the accuracy, completeness, and relevance of the inputs provided.
Certain platform features utilize artificial intelligence technologies. Certain platform features execute user-configured reasoning workflows according to explicitly defined rules and supplied inputs. The nature of a given feature is described in the applicable product documentation.
The automated reasoning engine—which evaluates deployed workflows against user-configured rules using deterministic logic—runs on SMEme application infrastructure hosted by Render Services, Inc. It does not run on OpenAI or other foundation-model providers. OpenAI and similar vendors are used only for separate optional AI-assisted features (such as workflow design assistance), as listed on our Subprocessors page.
We do not guarantee that any Generated Output is correct, complete, lawful, suitable, or fit for a particular purpose. Users remain responsible for reviewing and validating Generated Outputs where appropriate.
11. Acceptable Use
You may use the Service only for its intended purpose and in compliance with these Terms. You may not use the Service to extract, replicate, or compete with the Platform or our proprietary technology.
11.1 General Prohibitions
You may not:
- violate applicable law;
- infringe intellectual property or other proprietary rights;
- interfere with operation of the Service;
- attempt unauthorized access to systems, accounts, APIs, or non-public areas of the Service;
- distribute malware or harmful code;
- upload content you do not have rights to use; or
- use the Service in a manner that threatens platform security, integrity, or availability.
11.2 Platform Integrity and Competitive Restrictions
Except as expressly permitted by these Terms or applicable law, you may not, and may not assist others to:
- reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code, underlying ideas, algorithms, architecture, or non-public interfaces of the Service;
- scrape, crawl, spider, harvest, mine, or use automated means (including bots, scripts, browser extensions, or AI agents) to access, collect, copy, or extract data, content, structure, or functionality from the Service without our prior written permission;
- bypass, disable, circumvent, or interfere with rate limits, access controls, authentication requirements, usage restrictions, or other technical or contractual protections;
- copy, reproduce, imitate, or create derivative works based on the Platform’s software, user interface, product design, workflows, features, functionality, documentation, or other proprietary elements, except as necessary for your authorized use of the Service;
- use the Service, or information obtained through the Service, to develop, train, benchmark, or operate a competing or substantially similar product or service;
- systematically monitor, extract, or replicate platform structure, logic, prompts, reasoning workflows, or operational methods for competitive or commercial purposes; or
- mirror, frame, or resell access to the Service, or present the Service (or any part of it) as your own product.
These restrictions apply to all access to the Service, including through websites, APIs, integrations, and connector interfaces made available by Arista Labs.
Nothing in this Section limits rights that cannot be waived under applicable law, including certain limited reverse-engineering rights where expressly permitted by law.
12. Payments and Subscriptions
12.1 Paid Features
Certain features of the Service require payment, including SMEme Pro subscriptions ($49/month as described at checkout). Free-tier features are subject to usage limits described in the Service and in our Plans & usage documentation (workflows, MCP tool calls, and AI-assisted workflow builds per UTC month).
12.2 Billing and Auto-Renewal
Subscriptions are billed in advance on a recurring basis through our payment processor (Stripe). By purchasing a subscription, you authorize Arista Labs and Stripe to charge your payment method at the then-current rate for each billing period until you cancel. Subscriptions renew automatically unless canceled before the renewal date.
12.3 Cancellation
You may cancel a subscription at any time through the billing management tools provided in the Service (Stripe Customer Portal) or by contacting support. Cancellation takes effect at the end of the current billing period unless otherwise stated. You will retain access to paid features through the end of the paid period.
Account deletion is not the same as subscription cancellation. If you delete your SMEme account, any active Pro subscription is canceled immediately, you forfeit any remaining prepaid subscription time, and fees are not prorated or refunded for unused days (except where required by law). If you register again with the same email, you receive a new account; we do not automatically restore prior subscriptions or prepaid time.
12.4 Price Changes
We may change prices for paid features upon reasonable notice. Price changes apply to subsequent billing periods. If you do not agree to a price change, you may cancel before the change takes effect.
12.5 Taxes
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for taxes associated with your purchase, other than taxes based on our net income.
12.6 Refunds
Except where required by applicable law or explicitly stated at checkout, all fees are non-refundable. Subscription fees are not prorated upon cancellation mid-period.
12.7 Failed Payments
If a payment fails, we may suspend or downgrade access to paid features after reasonable notice and retry attempts. You remain responsible for unpaid amounts.
13. Third-Party Services
The Service may integrate with third-party providers, including cloud infrastructure providers, payment processors, artificial intelligence providers, communication providers, and other service providers.
We are not responsible for the availability, policies, or actions of third-party services.
14. Availability
We may modify, suspend, or discontinue all or part of the Service at any time.
We do not guarantee uninterrupted availability of the Service.
15. Termination
You may terminate your account at any time through the account deletion flow in the Service. Deletion cancels any active subscription immediately and ends paid access without refund of unused subscription time, as described in Section 12.3.
We may suspend or terminate access to the Service if:
- you violate these Terms;
- your use creates legal, security, or operational risks; or
- continued access may harm us, our users, or third parties.
Upon termination, your right to access the Service ends immediately.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARISTA LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
ARISTA LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
IN NO EVENT SHALL ARISTA LABS’ AGGREGATE LIABILITY EXCEED THE GREATER OF:
(A) THE FEES PAID BY YOU TO ARISTA LABS DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR
(B) USD $100.
18. Indemnification
You agree to defend, indemnify, and hold harmless Arista Labs and its affiliates, officers, directors, employees, and agents from claims arising from:
- your User Content;
- your Expert Assets;
- your violation of these Terms; or
- your violation of applicable law or third-party rights.
19. Governing Law
These Terms are governed by the laws of the State of Florida, excluding conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Florida.
20. Relationship to Other Documents
Document precedence. These Terms and the Privacy Policy govern the hosted Service only. The SMEme Sustainable Use License (or a separate commercial software license) governs rights in SMEme Core software copies. If language in marketing pages or Principles appears to conflict with these Terms or the Privacy Policy for the hosted Service, these Terms and the Privacy Policy control for that Service.
Our Ownership & AI Usage Principles describe the values that guide the design and operation of the SMEme platform; they do not create a separate license to copy or redistribute software.
Our Security & Data Handling page summarizes security practices but does not modify these Terms.
21. Changes to These Terms
We may modify these Terms from time to time.
For material changes affecting user rights or obligations, we will provide reasonable notice, which may include email notification, in-product notification, or other appropriate means.
Continued use of the Service after the effective date of revised Terms constitutes acceptance of those revised Terms.
